These Terms & Conditions govern access to and use of the Singularity Sales Platform, including our website, hosted application, APIs, integrations, communications, and related services. By accessing or using the platform, you agree to be bound by these terms and by any additional policies or service-specific terms we make available to you.

If you use the platform on behalf of a company or other organization, you represent that you have authority to bind that organization to these terms. In that case, the words "you" and "your" refer to both you and that organization.

You must provide accurate registration information, keep your login credentials secure, and promptly update your account details if they change. You are responsible for all activity that occurs under your account unless you notify us of unauthorized access without undue delay.

You may not share credentials in a way that defeats seat limits, security controls, or administrative ownership requirements established for your workspace.

You may use the platform only for lawful business and operational purposes. You agree not to misuse the service, interfere with its operation, probe for vulnerabilities without authorization, upload malicious code, reverse engineer restricted portions of the platform, or use the service to violate the rights of others.

We may suspend or restrict access if we reasonably believe your use creates a security risk, violates law, breaches these terms, or threatens the stability or integrity of the service.

As between the parties, you retain ownership of the data, files, text, images, configurations, prompts, and other content that you or your users submit to the platform. You grant us a limited, non-exclusive right to host, process, transmit, back up, and otherwise use that content solely as necessary to provide, secure, support, and improve the service.

You are responsible for ensuring that you have all rights, notices, and permissions needed for the content you submit and for the instructions you give through the platform, including when using automation, messaging, AI, or third-party integrations.

Certain features may rely on artificial intelligence systems, third-party APIs, payment processors, communication providers, or other external services. Output generated by AI or external providers may be incomplete, inaccurate, or unsuitable for your intended use, and you remain responsible for reviewing important outputs before relying on them.

Third-party services may be subject to separate terms and privacy practices. We are not responsible for downtime, output quality, or policy changes imposed by providers outside our reasonable control.

Paid subscriptions, add-ons, usage-based services, and renewals are billed according to the pricing, order form, or plan terms presented at purchase. Unless otherwise stated, fees are non-refundable once incurred.

You are responsible for applicable taxes, duties, and governmental charges other than taxes based on our net income. Failure to pay amounts due may result in suspension or termination of access after reasonable notice where required.

The platform, including its software, design, branding, documentation, and underlying technology, is owned by Singularity Sales Platform or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these terms, no rights are transferred to you.

Feedback you choose to provide may be used by us without restriction or obligation, provided we will not publicly identify you as the source without permission.

Each party may receive non-public information from the other that should reasonably be understood as confidential. The receiving party will protect that information using reasonable care, use it only to perform or exercise rights under these terms, and disclose it only to personnel, contractors, or advisors who need to know it and are bound by appropriate confidentiality obligations.

Confidentiality obligations do not apply to information that is or becomes public without breach, was already lawfully known, is independently developed without use of the confidential information, or is lawfully received from a third party without restriction.

The platform is provided on an "as is" and "as available" basis except to the extent required by applicable law or expressly stated in a separate written agreement. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee uninterrupted availability, error-free operation, or that the service will meet every business, compliance, or legal requirement that may apply to your organization.

To the fullest extent permitted by law, Singularity Sales Platform and its affiliates, officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising from or related to the platform.

To the fullest extent permitted by law, our aggregate liability for claims arising out of or relating to these terms or the platform will not exceed the total amount paid by you to us for the service during the twelve months preceding the event giving rise to the claim.

You may stop using the platform at any time. We may suspend or terminate access if you materially breach these terms, if required by law, if your use presents a security or fraud risk, or if continued service is no longer commercially feasible.

Upon termination, rights granted to you under these terms end, but provisions that by their nature should survive will remain in effect, including provisions concerning payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, and dispute resolution.

We may update these Terms & Conditions from time to time to reflect product changes, legal requirements, or operational needs. When changes are material, we will post the updated version with a revised effective date and may provide additional notice through the platform or by email.

Your continued use of the platform after the revised terms become effective constitutes acceptance of the updated terms.
